Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") form a binding legal agreement between you and Mesengr("Mesengr", "we", "us", "our"). By accessing or using the Mesengr platform, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a business, you represent that you have authority to bind that business.

If you do not agree to these Terms, do not use our services.

2. What Mesengr Does

Mesengr is a Software-as-a-Service (SaaS) platform that enables businesses to deploy AI-powered chatbots on their WhatsApp Business numbers. The platform uses Anthropic's Claude AI to generate replies to customer messages, and connects to WhatsApp via the Meta WhatsApp Business Platform.

Features include automated customer replies, lead capture, order management, appointment booking, conversation analytics, and human escalation handling.

3. WhatsApp Business Platform Compliance

Mesengr operates as a platform built on the Meta WhatsApp Business Platform. By using Mesengr, you agree to comply with:

You represent that your business use of WhatsApp complies with all applicable laws and Meta's policies. You must not use Mesengr to send spam, unsolicited promotional messages, or messages that violate WhatsApp's policies.

You are responsible for obtaining all necessary consents from your customers before messaging them via WhatsApp, in accordance with applicable data protection laws.

4. Account Registration & Eligibility

To use Mesengr you must:

  • Be at least 18 years old
  • Operate a legitimate business with a valid WhatsApp Business Account
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorised access to your account

You are responsible for all activity that occurs under your account. We reserve the right to refuse service or terminate accounts that provide false information or violate these Terms.

5. Acceptable Use

You agree not to use Mesengr to:

  • Send spam, unsolicited messages, or bulk marketing messages not permitted by WhatsApp
  • Harass, threaten, or deceive your customers
  • Impersonate another person or business
  • Violate any applicable law or regulation
  • Transmit malware, viruses, or malicious code
  • Scrape, reverse-engineer, or attempt to extract the underlying AI models
  • Resell access to the platform without our written permission
  • Use the platform for any illegal activity including fraud, money laundering, or selling prohibited goods

We reserve the right to suspend or terminate accounts that we determine, in our sole discretion, are engaging in prohibited activities.

6. AI-Generated Content

Mesengr uses Anthropic Claude to generate automated responses to your customers' messages. You acknowledge and agree that:

  • AI-generated responses may occasionally be inaccurate, incomplete, or inappropriate
  • You are responsible for configuring your bot with accurate business information
  • You are responsible for the content sent from your WhatsApp number, even if generated by AI
  • You should use the escalation features to route complex queries to human agents
  • Mesengr is not liable for business decisions made based on AI-generated content

We recommend you regularly review your bot conversations to ensure quality and accuracy.

7. Payment & Billing

Mesengr charges subscription fees based on your selected plan. Payments are processed securely by Paystack. By subscribing, you authorise Paystack to charge your payment method on a recurring monthly basis.

  • Billing cycle: Monthly, starting from the date of your first successful payment.
  • Failed payments: We provide a 7-day grace period. If payment is not resolved within the grace period, your bot will be suspended.
  • Cancellation: You may cancel at any time. Your service continues until the end of the paid period — no pro-rata refunds.
  • Plan changes: Upgrades take effect immediately. Downgrades take effect at your next renewal date.
  • Refunds: We do not offer refunds except where required by applicable Nigerian consumer protection law.

Prices are quoted in Nigerian Naira (₦) and are subject to VAT where applicable.

8. Intellectual Property

Mesengr's IP: The Mesengr platform, software, trademarks, and all related IP are owned by us. These Terms do not grant you any ownership rights. You receive a limited, non-exclusive, non-transferable licence to use the platform for your business purposes during your subscription.

Your data: You retain ownership of all business data you provide to Mesengr — your catalog, FAQs, conversation history, and customer data. You grant us a limited licence to process that data for the purpose of operating the platform.

Feedback: If you provide feedback or suggestions about Mesengr, we may use them without obligation to compensate you.

9. Data Privacy

Our Privacy Policy explains how we collect, use, and protect data including WhatsApp message data. By using Mesengr, you agree to the Privacy Policy.

As a business using Mesengr, you are the data controller for your customers' personal data. Mesengr acts as your data processor. You are responsible for having a lawful basis to message your customers and for complying with the Nigerian Data Protection Act (NDPA) and any other applicable data protection laws.

10. Uptime & Service Levels

We aim for high availability but do not guarantee 100% uptime. The platform is provided "as is". Planned maintenance will be communicated in advance where possible. Downtime of our upstream providers (Meta, Anthropic, Supabase, Vercel) is outside our control and does not constitute a breach of these Terms.

11. Limitation of Liability

To the maximum extent permitted by law, Mesengr's total liability to you for any claim arising from your use of the platform shall not exceed the amount you paid us in the 3 months preceding the claim.

We are not liable for: lost profits, lost revenue, lost customers, data loss, indirect or consequential damages, or damages arising from AI-generated content.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such cases, our liability is limited to the fullest extent permitted by law.

12. Indemnification

You agree to indemnify and hold harmless Mesengr and its team from any claims, damages, or expenses (including legal fees) arising from: your use of the platform, content you configure in your bot, your violation of these Terms, or your violation of any third-party rights including WhatsApp's policies.

13. Termination

By you: You may terminate your subscription at any time from your account settings or by contacting us. Access continues until the end of your paid period.

By us:We may suspend or terminate your account immediately if: you violate these Terms, you violate WhatsApp's policies, your account is involved in fraud, or your payment remains unresolved beyond the grace period.

Upon termination, you may request an export of your data within 30 days. After 90 days post-termination, data is permanently deleted per our retention policy.

14. Modifications to These Terms

We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use of Mesengr after the effective date constitutes acceptance of the updated Terms.

15. Governing Law & Disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved first through good-faith negotiation. If unresolved after 30 days, disputes shall be referred to the Lagos Multi-Door Courthouse (LMDC) for mediation before any litigation is commenced.
